There's no reason to get a 940 over a 955 and the 940 you selected does not come with a cooler so you'd have to buy one. If you're buying ANY Phenom II, make sure its a C3 stepping.
The PSU is an old outdated platform and there are many better choices for the price. Max wattage isn't everything. Amperage, adherence to up to date specifications, efficiency, these are things that are just as important.

The stepping is the 'version' of the processor. C3 has an improved memory controller and is much more stable.

Give a slight advantage to the c3 stepping (it's more energy efficient, stable, etc). The speed difference in 3.0 GHz and 3.2 GHz is minimal. It only gets worse if you overclock both to their maximum. The best way to figure out what to buy is "you get what you pay for", so long as you recognize the better values (like c3 stepping is cheaper than c2 stepping for God knows why).
